Carta abandons startup shutdown business, instead backs SimpleClosure’s $15M Series A


In early 2024, Carta, a prominent equity management platform, ventured into the startup winddown space with a service called Carta Conclusions. However, by December of the same year, the company announced it would discontinue this offering. Instead, Carta has now pivoted to support SimpleClosure—a startup specializing in streamlined business shutdowns—by investing in its $15 million Series A funding round.

A Carta spokesperson explained the strategic shift, stating that partnering with a dedicated team focused solely on shutdown solutions proved more effective than developing an in-house product. As part of the collaboration, Carta is offering its customers discounted access to SimpleClosure’s services, including a free consultation and a 10% discount.

SimpleClosure, founded by Dori Yona, emerged from his personal frustration with the complexities of shutting down a business. After a board member requested a detailed shutdown analysis for his previous venture, Yona recognized the need for an automated platform to simplify the process. The company’s user-friendly approach, likened to “TurboTax for business closures,” quickly gained traction, generating seven figures in annualized revenue by early 2024.

Since its inception, SimpleClosure has raised $20.5 million in total funding. Its latest $15 million Series A round was led by TTV Capital, with participation from existing investors like Infinity Ventures and Anthemis, as well as new backers such as The LegalTech Fund and several angel investors. The startup’s revenue surged twelvefold in 2024, reflecting growing demand for efficient winddown solutions.

“While 90% of startups ultimately fail, shutting down remains a taboo topic,” Yona noted. “Our goal is to provide founders with the tools to close their businesses responsibly and cost-effectively when needed.”
